These Terms and Conditions ("Terms") govern access to and use of the GarajOS cloud platform ("GarajOS", "we", "us", or "our"), including our website, APIs, and workshop management software (collectively, the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms on behalf of yourself and the business entity you represent ("Customer", "you", or "your").

If you do not agree to these Terms, do not use the Service.

1. The Service

GarajOS is a multi-tenant software-as-a-service platform designed for automotive workshops and garage operators in the Gulf region. The Service may include features such as job cards, bay scheduling, customer and vehicle records, quotations, invoicing, inventory, reporting, and related tools. We may add, modify, or discontinue features from time to time.

We provide the Service on a subscription basis. Access is granted to authorised users associated with your tenant account and is subject to your selected plan limits (for example, number of workshops or users).

2. Account registration and eligibility

You must provide accurate registration information and keep your account details up to date. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. You must ensure that users you invite are authorised to access your business data and comply with these Terms.

You represent that you have authority to bind your organisation to these Terms and that your use of the Service complies with applicable laws in the United Arab Emirates and any other jurisdiction where you operate.

3. Subscription, fees, and VAT

Subscription fees, billing cycles, and plan features are described at the time of purchase or in your order confirmation. Unless otherwise stated, fees are quoted exclusive of applicable taxes. Where required under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and related regulations, VAT will be added to taxable supplies at the prevailing rate and shown on invoices.

Subscriptions renew automatically according to your billing cycle unless cancelled in accordance with these Terms. We may change pricing for future renewal periods with reasonable notice. Failure to pay fees may result in suspension or termination of access.

4. Acceptable use

You agree to use the Service only for lawful business purposes related to workshop and automotive service operations. You must not:

We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Service, other customers, or comply with law.

5. Customer data and responsibilities

You retain ownership of data you and your users submit to the Service ("Customer Data"), including customer contact details, vehicle information, job records, financial documents, and uploaded files. You grant us a limited licence to host, process, back up, and display Customer Data solely to provide and improve the Service, comply with law, and support you.

You are responsible for the accuracy, legality, and appropriateness of Customer Data and for obtaining any consents required from your customers, employees, or other individuals whose personal data you process through the Service. GarajOS acts as a data processor with respect to Customer Data you control; you remain the data controller for that information.

6. Confidentiality and security

Each party will protect the other's confidential information using reasonable care. We implement technical and organisational measures designed to protect the Service and tenant data, including logical separation between tenant environments. No online service can guarantee absolute security; you should use strong passwords, limit user access appropriately, and notify us promptly of any suspected unauthorised access.

7. Intellectual property

GarajOS and its licensors own all rights in the Service, including software, branding, documentation, and underlying technology. These Terms do not transfer any ownership rights to you. Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations during your subscription term.

8. Support and availability

We aim to keep the Service available and will use commercially reasonable efforts to maintain uptime and provide support via the contact channels we publish. Scheduled maintenance, emergency repairs, third-party outages, or events outside our reasonable control may cause temporary interruptions. Support scope and response targets may depend on your plan.

9. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. We disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet every business requirement without configuration or integration effort on your part.

You are solely responsible for business decisions made using the Service, including pricing, tax treatment, regulatory compliance for your workshop operations, and records you issue to your customers.

10. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the Service or these Terms, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim, except where liability cannot be limited under applicable law.

11. Indemnity

You will defend and indemnify GarajOS against claims, damages, and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by our material breach or wilful misconduct.

12. Term, suspension, and termination

These Terms remain in effect while you have an active subscription or continue to use the Service. Either party may terminate for material breach if the breach is not cured within a reasonable period after written notice. We may suspend or terminate access immediately if required by law, for non-payment, or where continued use poses a security or legal risk.

Upon termination, your right to access the Service ends. We may retain Customer Data for a limited period to allow export where available and to meet legal obligations, after which it may be deleted in accordance with our retention practices and Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on the GarajOS platform and update the "Last updated" date. Material changes will be communicated with reasonable notice where practicable. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The courts of the UAE shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, unless mandatory law requires otherwise.
